1. Introduction and Acceptance
1.1. Welcome to the UniPumps online store, accessible via www.unipumps.co.za. These Terms and Conditions (“Terms”) govern the advertising, sale, and delivery of swimming pool parts and accessories by UniPumps (“the Company”), to you, the customer.
1.2. By accessing the website and/or completing a purchase, you (“The client”) acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. These Terms constitute a legally binding agreement between you and UniPumps. If you do not agree with any part of these Terms, you must immediately cease use of the website and refrain from placing any orders.
1.3. Wholesale accounts are available to registered businesses only. Proof of business registration may be required.

2. Definitions
For the purposes of these Terms:
• “CPA” refers to the South African Consumer Protection Act 68 of 2008.
• “ECTA” refers to the Electronic Communications and Transactions Act 25 of 2002.
• “Goods” refers to any physical products, including manufactured swimming pool parts and accessories, offered for sale on the website.
• “POPIA” refers to the Protection of Personal Information Act 4 of 2013.
• “SADC” refers to the Southern African Development Community regions where UniPumps provides delivery by means of our 3rd party services.
3. Legal Capacity and Scope
3.1. By using this website, you warrant that you are at least 18 years of age and possess the legal capacity to enter a binding contract under South African law. If you are ordering on behalf of a legal entity, you warrant that you have the requisite authority to bind such entity to these Terms.
3.2. These Terms apply to all users of the site, including browsers, vendors, customers, and contributors of content. While our primary operations are based in Johannesburg, South Africa, these Terms also extend to our customers within SADC supported countries, subject to local import regulations and customs laws.

4. Product Information and Custom Orders
4.1. UniPumps specializes in the manufacture and sale of swimming pool pumps, filters and accessories. We strive to ensure that all product descriptions and images are as accurate as possible. However, as many of our products are custom-made, minor variations in colour, finish, or dimensions may occur and do not constitute a defect.
4.2. Customers must note that custom-made items are manufactured to specific requirements. It is the customer’s responsibility to ensure that all specifications provided during the order process are accurate. Due to their bespoke nature, certain items, including but not limited to pool lights, capacitors, and gaskets, are non-refundable once the manufacturing process has commenced or the order has been fulfilled.

5. Pricing and Value Added Tax (VAT)
5.1. All product descriptions, specifications, and prices are subject to change without notice
5.2. All prices displayed on the UniPumps website are quoted in South African Rand (ZAR / R). In compliance with South African fiscal regulations, all listed prices are inclusive of Value Added Tax (VAT), regardless of whether the customer is located within or outside the borders of South Africa.
5.3. Prices listed do not include shipping or transport fees. These additional charges are calculated based on the delivery location (zone) and the weight category of the product and will be clearly displayed at the final checkout point before payment is finalized. UniPumps reserves the right to adjust pricing at any time without prior notice, though prices for confirmed orders will remain unaffected
5.4. We reserve the right to correct errors in pricing or product information.

6. Order Process and Formation of Contract
6.1. To place an order, customers must select their desired products and proceed to the digital checkout. The contract for sale is only concluded when UniPumps formally confirms the order. An order is considered confirmed only once the following three conditions are met:
6.1.1. UniPumps receives successful payment or valid proof of payment,
6.1.2. a clear and accurate delivery address is provided, and
6.1.3. the customer’s order is processed in our system.
6.2. UniPumps reserves the right to refuse or cancel any order for reasons including, but not limited to, product unavailability, errors in pricing or product descriptions, or suspected fraudulent activity. If an order is cancelled by the Company after payment has been received, a full refund or store credit will be issued to the customer.
6.3. Wholesale customers may be required to meet minimum order quantities

7. Payment Methods and Security
7.1. UniPumps accepts multiple payment methods to facilitate a secure transaction environment. These include Direct Electronic Funds Transfer (EFT) and credit or debit card payments processed through our secure third-party gateway(s), including but not limited to, Ozow. We may also introduce PayPal as an additional gateway in the future.
7.2. By providing payment information, you represent that you are authorized to use the chosen payment method. UniPumps does not store your credit card details on our servers; all sensitive financial data is handled by our PCI-compliant payment service providers to ensure maximum security.

8. Electronic Communications
8.1. When you visit the UniPumps website or send emails to sales@unipumps.co.za, you are communicating with us electronically. In accordance with Section 11 of the ECTA, you agree that all agreements, notices, disclosures, and other communications provided to you electronically satisfy any legal requirement that such communications be in writing.
8.2. Furthermore, by providing your contact details, you consent to receive communications from UniPumps regarding your orders, account status, and, where you have opted in, marketing materials. You may opt out of marketing communications at any time by following the “unsubscribe” instructions provided in such emails.

9. Limitation of Liability
9.1. To the maximum extent permitted by South African law, UniPumps (including its directors, employees, and affiliates) shall not be liable for any direct, indirect, incidental, or consequential damages arising from the use of our products or the inability to use our website. This includes, but is not limited to, damages for loss of profits, business interruption, or personal injury resulting from the installation of pool parts by unqualified persons.
9.2. All Goods are used at the customer’s own risk. While UniPumps provides certain warranties for manufacturing defects, we do not accept liability for damage caused by incorrect water chemistry, neglect, misuse, or installation that does not comply with SANS10142 standards where electrical items are concerned.

10. Indemnification
10.1. You agree to indemnify, defend, and hold harmless UniPumps and its parent, subsidiaries, affiliates, partners, and employees from any claim or demand, including reasonable legal fees, made by any third party due to or arising out of your breach of these Terms, your violation of any law, or your infringement of the rights of a third party.
10.2. This indemnity extends to any loss or damage UniPumps may suffer as a result of incorrect information provided by you during the order or registration process, or any unauthorized use of your account by a third party.

11. Intellectual Property Rights
11.1. All content included on the website, such as text, graphics, logos, images, and software, is the property of UniPumps or its content suppliers and is protected by South African and international copyright and trademark laws.

12. Statutory Consumer Rights (CPA Compliance)
While the document mentions the Consumer Protection Act (CPA), it lacks specific mandatory disclosures:
12.1. Cooling-off Period: Under Section 44 of the ECTA, consumers are generally entitled to a 7-day cooling-off period for electronic transactions. The document should explicitly state where this applies and where it is excluded (e.g., for the custom-made items already mentioned).
12.1.1.1. 
12.2. Implied Warranty of Quality: Section 56 of the CPA provides a statutory 6-month warranty against manufacturing defects. The current text mentions “certain warranties” but does not define this legally required minimum protection.

13. Privacy and Data Processing (POPIA)
The document defines POPIA but contains almost no operational clauses regarding it:
13.1. Data Purpose: A clause stating exactly why data is collected and how it is processed.
13.2. Third-Party Disclosure: Explicit mention of sharing data with couriers or payment gateways (beyond the security of the gateway itself).
13.3. Operator Warranties: A statement that UniPumps ensures its service providers (like Ozow) also comply with POPIA.

14. Website Use and Security (ECTA)
14.1. To fully protect the digital storefront, the following are missing:
14.2. Prohibited Actions: Explicitly banning “web scraping,” “crawling,” or the injection of malicious code/viruses.
14.3. Account Responsibility: While you mention unauthorized use, there is no clause requiring the user to maintain the confidentiality of their login credentials.
14.4. Hyperlinks: A disclaimer regarding the content of third-party websites that may be linked to or from the UniPumps site.

15. General Legal Provisions (“Boilerplate”)
15.1. These clauses ensure the contract remains enforceable even if parts of it are challenged:
15.2. Severability: A clause stating that if a court finds one part of these Terms invalid, the rest of the agreement remains in force.
15.3. Entire Agreement: A statement that this document (and referenced policies) constitutes the whole agreement, preventing users from claiming they were promised something different verbally.
15.4. Non-Waiver: Clarifying that if UniPumps fails to enforce a rule once, it doesn’t mean you’ve given up the right to enforce it in the future.
15.5. Cession and Delegation: A clause determining whether a customer can transfer their rights/obligations under a contract to someone else.

16. Force Majeure
16.1. UniPumps shall not be held responsible for any delay or failure to perform our obligations under these Terms if such delay or failure results from events beyond our reasonable control. Such events include, but are not limited to, acts of God, strikes, lockouts, riots, acts of war, floods, fires, power failures (load shedding), or interruptions in telecommunications and courier networks.
16.2. In the event of a force majeure, our obligations will be suspended for the duration of the event. We will make reasonable efforts to inform customers of any significant delays and resume services as soon as practically possible.

17. Amendments
17.1. UniPumps reserves the right to update or modify these Terms at any time without notice whereby
17.2. the client continued use of our services after changes constitutes acceptance of the revised Terms

18. Right to refuse trade
18.1. UniPumps reserves the right to refrain from trade in specific zones to protects it’s own interests.
18.2. This shall include, but not limited, countries that are at war, that are under sanctions / embargos, that violate the international human rights commission.
18.3. Other countries shall include
18.3.1. Zambia (Due to the Zambian Data Protection Act)

19. Dispute Resolution and Governing Law
19.1. These Terms and the relationship between the customer and UniPumps shall be governed by the laws of the Republic of South Africa. You agree that any legal action or proceeding arising out of these Terms shall be brought exclusively in the High Court of South Africa or a competent Magistrate’s Court.
19.2. Before resorting to formal litigation, both parties agree to attempt to resolve any dispute through informal negotiation. Should this fail, the dispute may be referred to the National Consumer Commission (NCC) or an accredited ombud in terms of the CPA.
